These Terms and Conditions govern your access to and use of VidTorq, a software platform operated by Wolfautomations/B2Bgrowthonline. By creating an account, starting a free trial, purchasing a subscription, clicking “I agree,” or using VidTorq, you agree to these Terms.

1. Use of VidTorq

VidTorq provides tools for creating AI-assisted marketing videos, including AI-generated voice, AI-generated video, uploaded media, rendered previews, video outputs, captions, scripts, and related content features.

VidTorq is intended for business and commercial use, including dealership, auto group, and rooftop marketing.

You agree to use VidTorq only for lawful purposes and in compliance with all applicable laws, advertising rules, platform policies, manufacturer or OEM requirements, and industry regulations.

2. Accounts

To use VidTorq, you may be required to provide your name, email address, phone number, company name, dealership or rooftop information, website URL, billing information, and other account details.

You are responsible for keeping your login credentials secure and for all activity that occurs under your account.

Wolfautomations/B2Bgrowthonline may refuse, suspend, or terminate access if account information is inaccurate, incomplete, misleading, or associated with misuse of the platform.

3. Free Trial

VidTorq may offer a free trial of the Starter plan for seven days. The free trial does not require a credit card unless otherwise stated.

During the free trial:

Trial videos and outputs are watermarked.

Trial videos and outputs are preview-only.

Trial videos and outputs are not downloadable.

Trial outputs may not be published, distributed, advertised, sold, modified outside the platform, or used commercially.

Downloads and watermark removal are available only after upgrading to a paid plan.

Trial access may expire automatically after seven days.

Wolfautomations/B2Bgrowthonline may limit, suspend, or end a trial if abuse, misuse, or suspicious activity is detected.

Starting a free trial does not guarantee continued access to trial-generated content after the trial ends.

4. Subscription Plans and Pricing

VidTorq currently offers the following monthly subscription plans, billed in USD:

Starter: $399/month

Growth: $799/month

Ultra: $1,199/month

Plan features, usage limits, pricing, and availability may change from time to time. Any changes will apply according to the billing and notice terms presented at the time of purchase or renewal.

5. Payments

Paid subscriptions are processed through Stripe or another authorized payment provider. By purchasing a paid plan, you authorize recurring charges for the selected subscription until cancelled.

You are responsible for all applicable taxes, fees, currency conversion costs, and payment provider charges.

6. Cancellation and No Refunds

You may cancel your subscription at any time.

All VidTorq subscription payments are final and non-refundable. Wolfautomations/B2Bgrowthonline does not provide refunds, credits, or prorated refunds for partially used billing periods, unused features, unused content, cancelled subscriptions, or failure to use the service.

After cancellation, your access may continue until the end of your current paid billing period unless otherwise stated.

7. Customer Materials

You may upload photos, images, videos, dealership assets, vehicle information, logos, text, website content, and other materials to VidTorq. These materials are referred to as “Customer Materials.”

You retain ownership of your Customer Materials.

By uploading Customer Materials, you grant Wolfautomations/B2Bgrowthonline a worldwide, non-exclusive, royalty-free license to host, store, process, modify, display, reproduce, and use Customer Materials as necessary to provide VidTorq, generate outputs, operate the platform, provide support, improve service quality, and enforce these Terms.

You represent that you have all rights, permissions, and consents required to upload and use Customer Materials, including any rights related to vehicles, dealerships, logos, trademarks, people, customer information, third-party materials, and website content.

8. Ownership of Platform Outputs

Except for Customer Materials, Wolfautomations/B2Bgrowthonline owns all videos, previews, renderings, edits, compositions, templates, AI-generated voice, AI-generated video, AI-generated scripts, captions, visual elements, platform-generated content, and other outputs created, assembled, edited, or rendered through VidTorq.

No ownership rights in VidTorq outputs are transferred to you unless Wolfautomations/B2Bgrowthonline expressly agrees in writing.

VidTorq outputs are licensed, not sold.

9. Trial Output License

During a free trial, Wolfautomations/B2Bgrowthonline grants you a limited, revocable, non-exclusive, non-transferable license to view trial outputs solely for internal evaluation of VidTorq.

Trial outputs may not be downloaded, copied, published, distributed, posted online, used in advertising, used commercially, modified outside the platform, resold, sublicensed, or transferred to any third party.

Trial videos and outputs remain watermarked and preview-only unless you upgrade to a paid plan and the applicable output becomes eligible for paid-plan use.

10. Paid Output License

Subject to these Terms, your selected plan, and payment of all applicable fees, Wolfautomations/B2Bgrowthonline grants you a limited, non-exclusive, non-transferable commercial license to use eligible paid-plan VidTorq outputs for your own internal business, dealership, rooftop, auto group, marketing, advertising, website, social media, and sales-related purposes.

This license does not allow you to:

resell VidTorq outputs as standalone assets;

sublicense VidTorq outputs to third parties;

white-label VidTorq outputs as part of a competing service;

claim ownership of VidTorq outputs;

use VidTorq outputs for a business, rooftop, dealership, or brand not associated with your account;

remove, alter, or bypass watermarks or restrictions except as permitted by your paid plan;

use VidTorq outputs in unlawful, misleading, infringing, or deceptive ways.

For clarity, paid customers may use eligible paid-plan outputs for their own dealership or business marketing, but Wolfautomations/B2Bgrowthonline retains ownership of the outputs and all underlying platform technology.

11. Downloading and Watermarks

Free trial videos and outputs are watermarked and not downloadable.

Paid plans may include video download access depending on the selected plan. Watermark removal or non-watermarked output access is only available as part of an eligible paid plan.

Wolfautomations/B2Bgrowthonline may apply technical restrictions to prevent downloading, copying, scraping, watermark removal, or unauthorized use of trial content or restricted outputs.

You may not attempt to remove, obscure, bypass, alter, or defeat any VidTorq watermark, access control, download restriction, license restriction, or usage limitation.

12. AI-Generated Content Disclaimer

VidTorq uses AI technologies to generate videos, voice, scripts, captions, visuals, previews, and related outputs.

AI-generated content may contain errors, inaccuracies, unexpected results, or content that requires human review. You are responsible for reviewing and approving all VidTorq outputs before publishing, distributing, advertising, or using them commercially.

Wolfautomations/B2Bgrowthonline does not guarantee that AI-generated content will be accurate, complete, unique, non-infringing, compliant with OEM requirements, compliant with advertising rules, or suitable for any specific business purpose.

13. Acceptable Use

You agree not to use VidTorq to create, upload, generate, publish, or distribute content that is unlawful, misleading, deceptive, defamatory, infringing, discriminatory, abusive, sexually explicit, harmful, or otherwise inappropriate.

You may not use VidTorq to impersonate another person or business, misrepresent dealership offers, violate advertising rules, misuse customer data, infringe trademarks or copyrights, create false endorsements, or generate content that you do not have the legal right to use.

You may not attempt to bypass, remove, alter, or defeat any VidTorq watermark, download restriction, access control, trial limitation, subscription limitation, or security feature.

You may not scrape, copy, reverse engineer, resell, sublicense, white-label, or use VidTorq to build or support a competing service.

14. Email, Calls, and Text Communications

Wolfautomations/B2Bgrowthonline may send you service-related emails, account notifications, onboarding messages, billing notices, trial notices, product updates, and support communications.

Marketing communications may be sent where permitted by law or where you have provided consent. You may unsubscribe from marketing emails or opt out of text messages where required by applicable law.

If SMS messaging is used, message and data rates may apply. You may opt out by replying STOP or following the instructions provided in the message.

15. Third-Party Services

VidTorq may integrate with or rely on third-party services including Stripe, GoHighLevel, Google Workspace, Railway, hosting providers, AI providers, analytics tools, email providers, communication tools, and other software vendors.

Wolfautomations/B2Bgrowthonline is not responsible for outages, errors, data handling, pricing changes, availability, policy changes, or security incidents caused by third-party services.

16. Service Availability

Wolfautomations/B2Bgrowthonline will make reasonable efforts to keep VidTorq available, but does not guarantee uninterrupted access, error-free operation, permanent availability of any feature, or permanent availability of any content.

VidTorq may be modified, updated, suspended, limited, or discontinued at any time.

17. VidTorq Intellectual Property

VidTorq, including its software, workflows, branding, designs, features, systems, templates, interfaces, automation processes, AI workflows, prompts, rendering logic, databases, and underlying technology, is owned by Wolfautomations/B2Bgrowthonline or its licensors.

You may not copy, reverse engineer, resell, sublicense, reproduce, scrape, clone, modify, or create competing services based on VidTorq without written permission.

18. Data and Privacy

Your use of VidTorq is also governed by the VidTorq Privacy Policy. By using VidTorq, you consent to the collection, use, storage, and processing of information as described in that Privacy Policy.

19. Account Suspension or Termination

Wolfautomations/B2Bgrowthonline may suspend or terminate your account if you violate these Terms, fail to pay fees, misuse the platform, infringe third-party rights, attempt to bypass restrictions, create legal, security, or reputational risk, or use VidTorq in a way that Wolfautomations/B2Bgrowthonline reasonably believes may harm the platform, business, or other users.

20. Effect of Cancellation or Termination

If your subscription is cancelled, expires, or terminated, your access to VidTorq may be limited or disabled.

You may continue using eligible paid-plan outputs that were properly made available to you during an active paid subscription solely according to the Paid Output License, unless your account was terminated for breach of these Terms or unlawful conduct.

Trial outputs remain restricted and may not be downloaded, published, distributed, or used commercially after trial expiration.

Wolfautomations/B2Bgrowthonline may delete, disable, or restrict access to account data, Customer Materials, and outputs after cancellation, expiration, or termination, subject to applicable law and internal retention practices.

21. Disclaimers

VidTorq is provided “as is” and “as available.” Wolfautomations/B2Bgrowthonline makes no warranties that the platform will meet your expectations, increase sales, generate leads, improve marketing performance, satisfy OEM requirements, comply with advertising rules, or produce specific business results.

22. Limitation of Liability

To the maximum extent permitted by law, Wolfautomations/B2Bgrowthonline will not be liable for indirect, incidental, special, consequential, punitive, exemplary, or lost-profit damages arising from your use of VidTorq.

Wolfautomations/B2Bgrowthonline total liability for any claim related to VidTorq will not exceed the amount you paid to Wolfautomations/B2Bgrowthonline for the service in the three months before the claim arose.

23. Indemnification

You agree to defend, indemnify, and hold harmless Wolfautomations/B2Bgrowthonline from claims, damages, losses, liabilities, and expenses arising from your use of VidTorq, your Customer Materials, your AI-generated outputs, your publication or distribution of outputs, your violation of these Terms, or your violation of any third-party rights or laws.

24. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Any disputes will be handled in the courts located in Ontario, Canada, unless applicable law requires otherwise.

25. Changes to These Terms

Wolfautomations/B2Bgrowthonline may update these Terms from time to time. Updated Terms will be posted on vidtorq.com or made available through the platform.

Continued use of VidTorq after changes means you accept the updated Terms.
